Incorporating a New Venture: Planning to Govern your New Creation

The session will consider the implications of incorporating a new company and introduce some of the concepts that will be relevant to founders of newly incorporated entities. Corporations are distinct from sole proprietorships and partnerships and they carry with them unique obligations. The session will canvass some of these distinctions, provide an overview of the incorporation process and introduce some of the obligations that result from incorporation. Company owners will be distinguished from management and concepts that relate to the interaction of each will be surveyed, including shareholders’ agreements, fiduciary duties, securities laws and share capital.

Who should attend:

Anyone who is considering incorporating and becoming a principle shareholder or a director of a new company or those that simply want a general introduction to some corporate governance topics.

About the presenter:
Chris joined Richards Buell Sutton as an associate in 2008. He is a member of our Business Law, Intellectual Property and Securities practice groups.
